Articles of Incorporation

These are the Articles of Incorporation of The Xi of Theta Xi Alumni Association

Executed by the undersigned for the purpose of stating the Articles of Incorporation of The Xi of Theta Xi Alumni Association, an Iowa Corporation under Code 504.202 of the Iowa Statutes, without stock, and not for profit.

The undersigned, desiring to form a non-profit corporation under the laws of the State of Iowa, does hereby certify:

ARTICLE I: The name of said corporation shall be The Xi of Theta Xi Alumni Association.

ARTICLE II: The address of the corporation’s registered office in the State of Iowa is 820 South Riverside Drive #1002, Iowa City, IA 52246. The name of its registered agent at such address is Secretary.

ARTICLE III: The purposes for which the corporation is formed are to promote and foster the fraternal principles and ideals of Theta Xi Fraternity, to acquire and hold real and personal property for a chapter house or lodge for the Xi Chapter of Theta Xi Fraternity at The University of Iowa and to engage in other pleasure, recreation and nonprofitable activities which qualify as such within the meaning of Section 501(c)7 of the Internal Revenue Code (or corresponding provisions of any future United States Internal Revenue law).

ARTICLE IV: The corporation is formed exclusively for purposes under which a corporation may be formed under the non-profit corporation law and not for pecuniary profit or financial gain. No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its trustees, officers or other private persons or organizations, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article III thereof. The corporation shall have the power, either directly or indirectly, either alone or in conjunction or in cooperation with others, to do any and all lawful acts and things and to engage in any and all lawful activities which may be necessary, useful, suitable, desirable, or proper for the furtherance, accomplishment, or attainment of any or all of the purposes for which the corporation is organized, and to aid or assist other organizations whose activities are such as to further, accomplish, foster or attain any such purposes. Notwithstanding any other provision hereof, the corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from federal income tax as an organization described in Code Section 501(c)7.

ARTICLE V: Upon the dissolution of the corporation, voluntarily or involuntarily, all the property and assets held by this Association at that time, after the payment of all just debts, shall be distributed in whole to the Theta Xi Fraternity, a Missouri Not-For-Profit Corporation. Dissolution specifications may be further enumerated by the Bylaws of said Corporation.

ARTICLE VI: The names and addresses of the natural persons who are to be initial trustees of the corporation are as follows:

Vice President

Secretary

Treasurer

ARTICLE VII: The number of Officers and Directors may be fixed by the Bylaws and shall not be less than three (3).

ARTICLE VIII: The membership of the Corporation shall be any Theta Xi alumni having an interest in continued brotherhood and the support of Xi Chapter at the University of Iowa and by paying annual dues required of each member and conforming to the requirement of the Articles of Incorporation and Bylaws of said Corporation. Membership provisions may be further enumerated by the Bylaws of said Corporation.

ARTICLE IX: The Officers and Directors of this Corporation are to be elected as provided in the Bylaws of this Corporation. Furthermore, the business affairs of this Corporation shall be carried on in accordance with the Bylaws above mentioned.

ARTICLE X: These Articles may be amended in the manner authorized by law at the time of the amendment.
